This document describes how Siyaqi works today so counsel can review it. It is not legal advice and has not been approved by a lawyer.
These Terms of Service (“Terms”) govern your access to and use of Siyaqi’s websites, advertiser and publisher portals, APIs, SDKs, waitlist, email, and related services (the “Service”), operated by TECHZO. By creating an account, joining the waitlist, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Siyaqi operates a text-first advertising network. Advertisers create campaigns (CPM, CPC, or CPA), generate AI copy variants, and fund spend through a prepaid wallet. Publishers integrate placements via snippet or API and earn a stored share of attributed ad spend. Artificial-intelligence features consume separate AI credits. Wallet balances and AI credits are distinct; campaign billing is metered on Siyaqi’s internal ledger and is not charged per-impression through a payment gateway.
Production environments may remain waitlist-first until launch is announced. Joining the waitlist does not guarantee an invite, fill, or specific launch date. Invited users may sign in while waitlist mode remains on for the public site.
2. Accounts and organizations
You must provide accurate information and keep credentials secure. Activity under your organization is your responsibility. You may use the Service as an advertiser, publisher, or both, subject to plan limits and platform policies. Authentication may use magic-link email or configured OAuth providers. You must be at least 16 years old.
3. Plans, wallets, and AI credits
- Free advertiser plans may limit active campaigns, daily budgets, and AI features, and may include a monthly AI credit allotment that does not roll over.
- Pay-as-you-go advertisers top up wallets (Whop when configured) and may purchase AI credit packs. There is no required SaaS subscription fee under the current product. Mock or test top-ups are not available in production.
- Enterprise terms may be agreed separately in writing. Unused wallet balances and credits are subject to the rules disclosed in the product and any order form. Wallet currency defaults to USD; SAR is optional at organization setup.
- Ledger spend for CPM, CPC, and CPA uses configured unit prices or, for CPA, the campaign’s conversion price in minor units (
cpa_price_halalas). Daily budgets cap spend. A campaign cannot activate without wallet balance.
4. Advertiser campaigns and creatives
You are responsible for campaign targeting claims, landing pages, and text creatives — including AI-generated variants you activate. Siyaqi may pause campaigns that violate these Terms, fail fraud checks, or harm the marketplace. CPA campaigns bill on attributed conversions within the network attribution window (typically 7 days), not on impressions or clicks. You must not attempt to manufacture fraudulent conversions.
5. Publisher inventory and payouts
Publishers represent they have rights to place ads in their apps and sites and that inventory is appropriate for a text ad network. Earnings depend on attributed spend and stored campaign share rates (publisher share vs platform take). Payouts require a connected destination (PayPal, crypto, or AI wallet when enabled) and may depend on payment-partner enablement, verification, and minimums. Siyaqi may hold, reverse, or delay payouts for suspected fraud, invalid traffic, or incomplete destination details.
6. Waitlist and communications
Waitlist sign-up (human or agent) authorizes transactional messages about confirmation, position, invite, and launch. Humans confirm email via a tokenized link. Agents may poll a watch URL or receive a launch webhook they registered. You can unsubscribe from eligible email via List-Unsubscribe / /api/email/unsubscribe. Commercial emails include the physical postal address configured as TRANSACTIONAL_POSTAL_ADDRESS (this draft does not invent a street). Optional reply-to may be set via operator configuration.
7. Staff, Ops, CRM, and KYC
Invited staff who access Ops, Admin, or Sales CRM must complete the employee guide, accept applicable terms, and submit KYC documents (government ID, proof of address, and selfie) before approval. Staff access is a privilege and may be revoked. Ordinary advertiser and publisher accounts are not subject to that staff KYC flow.
8. Acceptable use
You may not use the Service to distribute illegal, deceptive, malicious, or infringing content; to abuse rate limits or fraud controls; to interfere with other users; to scrape or overload serve endpoints; or to reverse engineer the Service except as allowed by law. Siyaqi may pause campaigns, placements, API keys, or accounts that violate these Terms or harm the marketplace.
9. Intellectual property
Siyaqi and TECHZO retain rights in the Service, branding, and platform software. You retain rights in your campaign copy, creatives, and inventory. You grant Siyaqi a license to host, serve, display, and analyze your ads as needed to operate the network and improve serving quality. AI-generated variants are produced for your campaign and remain subject to these Terms and applicable model-provider terms.
10. Disclaimers
The Service is provided “as is.” Siyaqi does not guarantee fill rates, specific performance, uninterrupted availability, particular AI output quality, or that waitlist position will convert to access on a given date. To the fullest extent permitted by law, Siyaqi disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the fullest extent permitted by law, Siyaqi is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Siyaqi’s aggregate liability arising from the Service is limited to the fees you paid to Siyaqi for the Service in the three months before the claim (excluding amounts that are advertiser wallet spend settled to publishers).
12. Changes and termination
We may update these Terms by posting a revised version with a new “Last updated” date. Continued use after changes constitutes acceptance. Either party may stop using or providing the Service subject to outstanding payment and payout obligations. We may suspend access for legal, security, or policy reasons.
